These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you", "your", "user") and VoCalm ("VoCalm", "we", "us", "our") governing your access to and use of the VoCalm website, application, and related services (collectively, the "Service").

By creating an account, accessing the Service, or using any features of VoCalm, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Service.

1. Introduction and Acceptance

These Terms form a binding contract when you create an account, access the Service, or use any features including voice sessions, journaling, or narrations.

We reserve the right to modify these Terms at any time. Material changes will become effective 30 days after notice is provided through in-app notifications or email. Continued use of the Service after changes become effective constitutes your acceptance of the modified Terms.

2. Eligibility and Account Requirements

Minimum Age Requirement

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to use the Service. VoCalm is not intended for individuals under 18 years of age.

Account Security

You are responsible for:

• Maintaining the security of your email account used for authentication
• All activities that occur under your account
• Not sharing your magic link authentication emails with others
• Notifying us immediately at [email protected] if you suspect unauthorized access

Prohibited Users

The Service may not be used by:

• Individuals under 18 years of age
• Individuals currently experiencing a mental health crisis or emergency
• Individuals seeking medical diagnosis, treatment, or professional mental health therapy
• Automated systems, bots, scrapers, or any non-human users

3. Service Description

VoCalm is a voice-first mental wellness application designed to support personal reflection, stress management, and emotional well-being through AI-powered features.

Core Features

• Voice Sessions: Real-time voice conversations with an AI companion powered by OpenAI Realtime API (maximum 17 minutes per session)
• Processing and Analysis: Automatic transcription, AI-generated summaries, personalized coping tips, and journal entries
• Journal and Insights: Access to transcripts, editable journal entries, dashboard with mood tracking and wellness insights
• Narration Feature: Audio narration generation of your journal entries with time credit deduction

4. Time Credits and Billing

VoCalm operates on a time-based credit system. Credits are measured in time units and consumed when you use the Service.

Free Tier (Starter Plan)

• 17 minutes of usage time every 30-day rolling window
• Full access to all features during free usage time
• Resets automatically 30 days after the last credit grant

Paid Plans

Credit Deduction Rates

• Voice Sessions: Full duration of the session is deducted from your balance
• Journal Narrations: 50% of the audio narration duration is deducted
• Deduction occurs at the end of the session or upon narration completion

Refund Policy

Refunds for unused time credits are governed by our Refund Policy. Key points include:

• Unused credits: May be eligible for refund within specific timeframes
• Used credits: Generally not eligible for refund
• Technical failures: May qualify for credit restoration or refund

5. User Content and Conduct

Acceptable Use

Permitted Uses:

• Personal wellness and mental health support
• Daily journaling and self-reflection
• Stress management and coping strategy development
• Mood tracking and pattern recognition

Prohibited Uses - You agree NOT to use the Service for:

• Emergency or crisis situations (use 911, 988, or appropriate crisis services)
• Medical diagnosis, treatment, or professional mental health therapy
• Sharing or recording third-party personal information without consent
• Abusive, harassing, threatening, or discriminatory content
• Illegal activities or content that violates laws or regulations
• Commercial purposes without express written authorization
• Automated access through bots, scrapers, or similar tools

6. Intellectual Property Rights

All intellectual property rights in the Service (excluding User Content) are owned by or licensed to VoCalm. You retain ownership of your original spoken content and voice recordings, but you grant VoCalm a limited license to process and provide the Service.

7. Third-Party Services

VoCalm integrates with third-party services including:

• OpenAI Services: Realtime API, transcription, text-to-speech, chat API
• Wasabi: Cloud storage for audio files
• SendGrid: Email delivery for authentication
• Stripe: Payment processing

8. Disclaimers and Limitations

Nature of Service

VoCalm is a wellness and stress management tool. The Service is designed to support personal reflection and emotional well-being for individuals experiencing everyday stress.

VoCalm IS NOT:

• A medical device or medical service
• A substitute for professional medical advice, diagnosis, or treatment
• A substitute for licensed mental health therapy or counseling
• An emergency service or crisis intervention service
• HIPAA-compliant healthcare infrastructure

AI Limitations

The Service uses artificial intelligence. You acknowledge that:

• AI may make errors: Content may contain inaccuracies or inappropriate suggestions
• AI lacks human judgment: Cannot understand context like a human therapist
• AI cannot assess risk: Cannot detect emergencies or mental health crises
• Verify information: You are responsible for evaluating AI-generated content

10. Warranties and Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

VoCalm disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted service.

Limitation of Liability

Our total aggregate liability to you for all claims shall not exceed the greater of:

• The total amount you paid to VoCalm in the 12 months preceding the claim, OR
• $50 (USD)

VoCalm shall not be liable for any indirect, incidental, special, consequential, or punitive damages including lost profits, emotional distress, or data loss.

11. Termination and Suspension

Your Right to Terminate

You may terminate your account at any time by contacting [email protected] with "Delete Account" in the subject line. Upon termination, unused time credits will be forfeited unless a refund is available under our Refund Policy.

We reserve the right to suspend or terminate your account for violations of these Terms, fraudulent conduct, legal compliance requirements, or service protection needs.

12. Dispute Resolution and Governing Law

These Terms shall be governed by the laws of Bulgaria. Before initiating any formal dispute resolution, you agree to contact us at [email protected] with "Legal Dispute" in the subject line and allow 30 days for informal resolution.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement

• No Waiver: Our failure to enforce any provision is not a waiver of that provision
• Assignment: You may not assign these Terms without our consent; we may assign freely
